These Terms of Service ("Terms") govern your access to and use of the SessionCommander software-as-a-service platform, including all related websites, applications, APIs, documentation, communications, and services (collectively, the "Platform").

By creating an account, accessing the Platform, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

1. Definitions

In these Terms:

  • "Account" means a registered user account on the Platform.
  • "Administrator" means a user with administrative privileges, including instance-level or studio-level administrators/owners.
  • "Content" means any data uploaded, transmitted, stored, or otherwise provided through the Platform, including audio files, attachments, metadata, comments, schedules, track data, guest access data, PDFs, and any other materials.
  • "Studio" means a collaborative workspace created within the Platform.
  • "User" means any individual accessing or using the Platform, including Administrators, Studio owners, studio members, guests, and API consumers.
  • "Guest" means an external user granted token-based access to a project or track.
  • "Subscription" means a paid plan or usage tier allowing access to the Platform.
  • "You" and "your" refer to the User or organisation accessing the Platform.

2. Eligibility and Account Registration

2.1 Minimum Age

You must be at least 18 years old (or the age of majority in your jurisdiction) to create an Account.

2.2 Account Information

You agree to provide accurate, complete, and current information during registration and to keep such information updated.

2.3 Security of Your Account

You are responsible for safeguarding your login credentials.

You must immediately notify us of any unauthorised access or suspected compromise.

2.4 Two-Factor Authentication (2FA)

We may require or encourage use of TOTP-based 2FA. Administrators may disable 2FA for specific Accounts where operationally necessary.

2.5 Account Suspension or Closure

We may suspend or terminate Accounts where required for security, legal compliance, or breach of these Terms.

3. Description of the Service

SessionCommander is a cloud-based audio production project management environment providing features including (but not limited to):

  • multi-user studio management
  • project planning and scheduling
  • recording session organisation
  • audio file management, streaming, and versioning
  • audio review and approval workflows
  • track management
  • guest access controls
  • take logging and PDF exports
  • detailed roles and permissions
  • granular notification systems
  • API access for administrative functions
  • multi-tenancy support
  • secure document/email templates and logging
  • storage quota management

We reserve the right to add, modify, or discontinue features for operational, technical, or security reasons.

4. Subscriptions, Billing, and Payment

4.1 Subscription Plans

Access to the Platform may require a paid Subscription. Details of current pricing, tiers, and limits are displayed on our website or provided contractually.

4.2 Billing Cycle

Subscriptions are billed in advance on a monthly or annual basis unless otherwise agreed.

4.3 Taxes

Prices may not include VAT or other applicable taxes; such taxes will be added as required by law.

4.4 Non-Payment

Failure to pay Subscription fees may result in limitation, suspension, or termination of access.

4.5 Changes to Pricing

We may adjust prices or plan features with reasonable notice (typically 30 days, unless mandated otherwise).

5. Refund Policy

5.1 General Policy

SessionCommander operates on a subscription basis. All fees are non-refundable, except where otherwise required by law.

5.2 Prorated Refunds

We do not issue prorated refunds if:

  • you cancel part-way through a billing cycle;
  • you downgrade a plan; or
  • your access is suspended due to breach of these Terms.

5.3 Exceptional Circumstances

Refund requests due to service outages or failures may be considered on a discretionary case-by-case basis.

5.4 Statutory Rights

Nothing in these Terms affects your statutory rights under UK law.

6. Acceptable Use Policy

You agree not to use the Platform, nor allow others to use it, to:

6.1 Illegal Activity

Upload, distribute, or store any material that:

  • violates applicable law;
  • infringes intellectual property rights;
  • breaches privacy or confidentiality obligations.

6.2 Security Violations

Attempt to:

  • access Accounts you do not own;
  • bypass security restrictions;
  • reverse-engineer or probe system architecture;
  • interfere with authentication mechanisms, including 2FA, API keys, or guest tokens.

6.3 Abuse of Services

Engage in:

  • excessive automated requests or scraping;
  • brute-force attempts;
  • unauthorised API usage;
  • distribution of malware, viruses, or malicious scripts.

6.4 Platform Misuse

Use the Platform for:

  • hosting unrelated content not associated with recording projects;
  • storing unlawful or harmful material;
  • circumventing storage quotas or usage limits.

6.5 Harassment and Misconduct

Upload or send harassing, defamatory, discriminatory, or harmful content.

We reserve the right to remove content and suspend accounts for breaches of this Acceptable Use Policy.

7. User Content and Licensing

7.1 Ownership of Content

You retain all rights to Content that you upload or create on the Platform.

7.2 Licence to Us

To operate the Platform, you grant us a limited, non-exclusive, worldwide, royalty-free licence to host, store, process, transmit, display, and perform your Content solely for the purpose of providing our services.

7.3 Copyright Complaints

We will respond to valid copyright notices in line with UK law and applicable international frameworks.

7.4 Removal of Content

We may remove Content that violates these Terms or is otherwise harmful.

8. Data Protection and Privacy

8.1 Privacy Policy

Processing of personal data is governed by our Privacy Policy, which forms part of these Terms.

8.2 Data Location

Data may be stored within the UK, EEA, or other jurisdictions offering adequate protection standards.

8.3 Data Sharing

We do not sell personal data. Data may be shared with trusted sub-processors necessary for Platform functionality.

8.4 Backups and Retention

We perform routine backups but cannot guarantee the absence of data loss.

9. Security

9.1 Security Measures

We employ industry-standard security measures including encrypted transmission, secure storage, token-based guest access, permission-based access control, hashed passwords, audit logging, and optional 2FA.

9.2 User Responsibilities

You must:

  • maintain secure passwords;
  • protect account credentials;
  • respect security restrictions;
  • promptly report suspected breaches.

10. Storage Quotas and File Management

10.1 Storage Limits

Your plan may impose storage quotas. Uploads may be prevented once limits are exceeded.

10.2 Automatic Deletion

We may delete files following account closure or prolonged inactivity.

10.3 File Streaming and Downloads

Streaming and downloads may be subject to permissions and security checks.

11. Guest Access

11.1 Guest Tokens

Guests may be given access to specific projects or tracks. Guest tokens must be kept confidential.

11.2 Guest Permissions

Guest permissions may include listening, commenting, viewing logs, downloading, or approving audio.

11.3 Revocation

Studio owners and Administrators may revoke guest access at any time.

11.4 No Account Creation

Guests do not create traditional user accounts and have limited rights on the Platform.

12. Intellectual Property

12.1 Our IP

All Platform code, visual design, trademarks, documentation, and branding remain our exclusive property.

12.2 No Assignment

Your use of the Platform grants no ownership of our intellectual property.

12.3 Feedback

You grant us a perpetual, royalty-free right to use feedback or suggestions to improve the Platform.

13. Third-Party Integrations

Some features rely on third-party services (e.g., email delivery, analytics, 2FA, libraries such as WaveSurfer.js, getID3, DomPDF, and others).

We are not responsible for:

  • disruptions caused by third-party outages;
  • changes in their functionality; or
  • data processed by them externally.

14. API Usage

14.1 API Keys

API access requires valid API keys. Keys must be kept confidential.

14.2 Rate Limits

We may impose or modify rate limits where necessary.

14.3 Revocation

We may revoke API keys for abusive use, excessive errors, or security concerns.

15. Service Availability and Support

15.1 Uptime

We aim to provide high availability but do not guarantee uninterrupted service.

15.2 Maintenance

Planned maintenance may occur with prior notice where feasible.

15.3 Support

Support is provided via the channels advertised on the Platform. Response times may vary depending on your Subscription tier.

16. Limitation of Liability

16.1 No Liability for Certain Losses

To the fullest extent permitted by law, we shall not be liable for:

  • indirect or consequential losses;
  • loss of profits, revenue, or anticipated savings;
  • loss of audio data, files, or Content;
  • system downtime or service interruptions;
  • third-party service failures;
  • data corruption or unauthorised access beyond our reasonable control.

16.2 Maximum Liability

Our total liability under these Terms shall not exceed the amount paid by you to us in the 12 months preceding the event giving rise to liability.

16.3 Nothing Excluded

We do not exclude liability for death or personal injury caused by our negligence or for any other liability that cannot be excluded by law.

17. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses arising from your:

  • breach of these Terms;
  • misuse of the Platform;
  • upload or distribution of Content;
  • violation of third-party rights.

18. Termination

18.1 By You

You may stop using the Platform at any time. Cancellation does not entitle you to a refund except where required by law.

18.2 By Us

We may suspend or terminate access where:

  • you breach these Terms;
  • you misuse the Platform;
  • required by law or regulation;
  • security risks are identified.

18.3 Consequences of Termination

On termination:

  • your access is revoked;
  • Content may be deleted after a retention period;
  • guest tokens and API keys are invalidated.

19. Changes to These Terms

We may update these Terms periodically.

We will notify you of material changes by email or via the Platform.

Continued use constitutes acceptance of the updated Terms.

20. Governing Law and Jurisdiction

These Terms and any disputes arising under them shall be governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
